Terms of UseThis
Agreement governs your use of this website and its associated services
(the "Web Service"), which are owned and operated by the Network of
Executive Women, Consumer Products and Retail Industry (the “Network”).
1. Terms.
The Network reserves the right to change or modify all or any part of
this Agreement at any time, effective immediately upon notice published
on the Web Service. Your use of the Web Service constitutes your
binding acceptance of these terms and conditions, including
modifications. If at any time the terms and conditions of this
Agreement are no longer acceptable to you, immediately cease use of the
Web Service.
2. Content. The
Web Service contains information, graphics, photographs, audio and
video clips, links, logos and other material (“Content”) that are
protected by copyright, trademark or other intellectual property rights
of the Network or third-party providers. You may not modify, publish,
transmit, transfer, sell, reproduce, display, or in any way exploit any
of the content, in whole or in part, except as otherwise permitted in
this Agreement. You agree to comply with any additional copyright
notices or restrictions contained in any Content available on or
accessed through the Web Service. Users of the Web Service may use the
Content only for their personal, noncommercial use; users of the Web
Service who wish to utilize the content for commercial use must obtain
prior express written permission of the Network.
3. Posting. You
may post content owned by you (such as your original writings or
photographs), uncopyrighted content in the public domain, and content
for which you have received express permission from the owner. You
assume all responsibility for determining whether any content is in the
public domain. You hereby grant to the Network a perpetual, worldwide,
royalty-free, freely transferable right and license to edit, copy,
publish, distribute and otherwise use any content that you place on the
Web Service without compensation to you. You represent and warrant that
you are authorized to grant all rights set forth in the preceding
sentence.
4. Conduct.
You shall not post on the Web Service any content which is libelous,
defamatory, obscene, pornographic, abusive, harassing or threatening;
contains viruses or other contaminating or destructive features;
infringes any copyright, trademark, patent, or trade secret; violates
any right of privacy or publicity; or otherwise violates any applicable
law or harms the reputation of any person or organization. You may not
post on the Web Service any links to any external Internet sites that
are obscene or pornographic. You shall not use the Web Service for any
commercial purpose not expressly approved by the Network, nor shall you
distribute any advertising or solicitation of funds or goods and
services.
5. Your Account.
Your account is for your sole, personal use, and you may not authorize
others to use your account, and you may not assign or otherwise
transfer your account to any other person or entity, without prior
express consent of the Network. All registration information about you
must be truthful, and you may not use any aliases or other means to
mask your true identity. You are responsible for the security of your
password and will be solely liable for any use or unauthorized use
under such password.
6. Interactive Areas.
Profiles, blogs, messages and other user-generated content
(“Interactive Areas”) are reserved for personal networking of our
members. Aggregating contact information or using the Interactive Areas
to send unsolicited recruitment, fund-raising or direct selling
messages is prohibited under the terms of this Agreement. The Network
does not and cannot review all content posted by users on the Web
Service and is not responsible for such content. The Network reserves
the right to delete, move or edit any content that violates or may
violate this Agreement or is otherwise unacceptable. The Network has
the right but not the obligation to correct any errors or omissions in
any content. You shall remain solely responsible for all content posted
by you.
7. Endorsement. The
Network does not represent or endorse the accuracy or reliability of
any content posted in any Interactive Area and you acknowledge that any
reliance upon such content shall be at your sole risk. Any content
placed on any Interactive Area by users are the views of the user
posting the statement, and do not represent the views of the Network or
its sponsors.
8. Indemnity.
You agree to indemnify, defend and hold the Network and its affiliates,
and their respective officers, directors, agents, information providers
and licensors (collectively, the "Network Parties") harmless from and
against any and all claims, liability, losses, costs and expenses
(including attorneys' fees) incurred by any Network Party in connection
with any use or alleged use of the service under your user name by any
person, whether or not authorized by you.
9. Termination.
The Network reserves the right to restrict, suspend or terminate your
access to all or any part of the Web Service, including the Interactive
Areas, at any time for any reason without prior notice or liability.
The Network may change, suspend or discontinue all or any aspect of the
Web Service at any time, including the availability of any feature,
database, or Content (including the Interactive Areas), without prior
notice or liability.
10. No Warranties.
Neither the Network, nor any successor, predecessor, agent, officer, or
employee of the Network warrants the accuracy, reliability, or
timeliness of any Content on or accessible via the Web Service. The
Network shall not be liable for any damage or loss caused by your
reliance on the accuracy, reliability, or timeliness of the Content.
